A high profile and well known Not-For-Profit organisation is currently looking to recruit a proactive and driven individual to lead their Company Secretarial team and to answer directly to the CEO. Responsibilities

  • The responsible senior manager within the Executive for ensuring that the institute maintains high standards of governance and that the Council, Management Board, Audit and Risk and other designated main central Boards and Committees (“Senior Committees”), legal entities and trust funds are supported in a way as to enable their effectiveness in delivering the charter objectives.
  • Acting as a point of communication between the volunteer, lay and executive leadership and other stakeholders, driving task forces and sub-groups of Council to deliver their objectives.
  • This role should act as an exemplar of good practice for governance and secretariat service and be available to mentor and advise throughout the organisation as required.
  • Responsible for General Meetings and procedures requiring votes of the membership, e.g. election of Council Members and Honorary Fellows.
  • Acting as a point of communication between the volunteer, lay and executive leadership and other stakeholders, driving task forces and sub-groups of Council to deliver their objectives.
  • Governance lead for organisation with c160 staff, £25m revenue / cost and over 25,000 members in over 100 countries;
  • Deliver a full secretariat service to Council (including General Meetings), Management Board, Audit & Risk Committee, Nominations Committee, boards of companies within the legal entity structure and the trustee of the three trust funds.

Experience and qualifications

  • Qualification as a Chartered Secretary, Solicitor or Chartered Accountant.
  • Prior company secretary experience within a corporate / central office.
  • Board experience.
  • Understanding of best practice in governance.
  • Membership body experience (des).
  • Regulator experience (des).
  • Understanding of financial markets (des).
  • Exposure to Public Affairs activity (des).

Personal qualities and behaviours

  • Good relationship skills – engaging and approachable but able to “get things done”.
  • Excellent communication skills.
  • Highly organised.
