Our client, a financial services company seeks an Assistant Company Secretary to join their Risk Department. In this newly created position you will be reporting to Head of Risk and working closely with the General Counsel/Company Secretary and Deputy CoSec of the parent company. You will be responsible for attending meetings, preparing minutes and providing good corporate governance and compliance advice.   • Attends and prepares minutes of and lists of actions arising from the meetings of various Boards/Committees in the UK governance structure.
  • Ensures the smooth running of all procedures surrounding the operation of all of the Boards/Committees in the UK governance structure.
  • Provides company secretarial guidance and advice to the business.
  • Ensures the agenda for each Board/Committee meeting is set correctly and that appropriate board papers are produced and distributed on time.
  • Ensures the Group operates in accordance with all statutory and legal provisions at all times.

Experience and qualifications

  • Fully or part- ICSA qualified
  • Knowledge of relevant company law
  • Previous company secretarial experience
