We are looking for a Head of Governance to join our Not-For-Profit client, a research institute, who will add value and contribute to the organisation’s success by ensuring compliance and best practice, as well as effectively supporting their boards and committees. The successful candidate will manage all aspects of meetings administration, advise on governance processes and procedures as well as manage 2 members of the team. For this role, previous experience in a similar position is essential, as well as great interpersonal skills and a high-level of integrity. If this sounds like you, then please do get in touch.

 

Responsibilities

  • Efficiently manage all aspects of committee administration so that agendas, minutes and papers are provided in line with timetabled requirements. 
  • Identify and introduce improvements to processes for board, committee and senior team meetings.
  • Work effectively with senior colleagues on periodic reviews of the effectiveness of the Board of Trustees and its Committees, the updating of its constitution and regulatory framework.
  • Ensure compliance with current legislative requirements such as the Charities Acts and Companies Acts, and liaise with statutory and regulatory bodies such as Companies House and the Charities Commission.
  • Obtain legal or other advice as requested by the Board, or as required within own area of responsibility to inform practice, ensure good governance and minimise risk.

  • Previous Company Secretarial/Governance experience
  • Strong board support experience/minuting skills
  • Experience from the Not-For-Profit sector is desirable
