About this job


An opportunity for an experienced and adaptable company secretarial professional to work both independently and as an effective team member in a diverse group. A chance to get involved in the full PLC remit e.g. planning and executing the AGM, administering share schemes and assist with the drafting of the annual report as well as overseas statutory compliance obligations for the group. This role is a 12 month maternity cover contract so the ideal candidate will have experience from another FTSE and high levels of integrity and professionalism and an ability to work with little guidance needed.



  • Advising on corporate governance issues to include liaison with finance and treasury departments and reviewing Terms of Reference
  • Core Statutory and legal compliance work, to include supervising the preparation of annual returns
  • Stock Exchange liaison
  • Identifying and working on areas for group restructuring exercises
  • Maintaining the group’s electronic company secretarial database (Blueprint)
  • Overseeing and assisting with agendas, papers and minutes for the Board and Committees
  • Ensuing best practice in the organisation of Board and committee meetings and the preparation of board and committee packs, including liaison with business areas over supporting papers
  • Involvement with the share dealing code’s communication and adherence
  • Involvement in the “annual cycle”, particularly annual report and accounts and AGM organisation

Experience and qualifications

  • ICSA qualified
  • Previous listed experience is desirable but not essential
  • Excellent working knowledge in the use of the latest company secretarial software
