A growing FTSE are looking to hire a professional to deliver an efficient company secretarial service reporting to the Group Company Secretary & General Counsel who is responsible for legal, company secretarial, risk and property matters.

 

This is a broad, stretching role in a small team, covering some Board support (meetings, minutes and governance), corporate and subsidiary governance, leading the preparation of key Board and Committee sections of annual financial statements, and organisation of the AGM. The role is highly visible and the ideal candidate would be confident to engage with the Board of Directors, senior management and external advisers on a daily basis.

 

The role holder will be expected to use their own initiative, be pro-active in developing and implementing best practice, and be able to deputise in the absence of the Group Company Secretary.

 

Responsibilities

  • Annual report and accounts process, including ownership of the governance section, preparation of the relevant sections, and supporting other key year end stakeholders
  • Management of the AGM, including preparation of the Notice and ancillary documentation
  • Oversight of the Board and Senior management meeting timetable, including all meetings, offsites and annual requirements
  • Oversight of the maintenance of Company Registers and statutory records for subsidiaries
  • Supporting the Company Secretary in advising the Chairman and the Board on governance and regulatory matters

Experience and qualifications

  • ACIS, FCIS or legally qualified with requisite experience
  • Understanding of UK Listing Rules
