Responsibilities

  • To manage the provision of a comprehensive and professional in-house company secretarial service to all UK companies within the Company group.
  • To assume responsibility, in conjunction with the Finance Team, Corporate Affairs and auditors, for the company secretarial content of the company’s Annual Report and Accounts.
  • To assume responsibility for the Company Secretary for the main Board Risk and Audit Committees and attending and minuting the company’s Executive Risk Committee.
  • To provide support and advice to Corporate Finance, Group Tax, Group Treasury, Group Finance, Capital Management and the Businesses on financial and corporate transactions from a company secretarial perspective.
  • To ensure the Group’s compliance with the company secretarial requirements of the Companies Act.
  • To assume responsibility for certain main Board and main Board Committee company secretarial issues, particularly in relation to Corporate Governance requirements set out in the UK Corporate Governance Code.
  • To performance manage the two Senior Assistant Company Secretaries and the Company Secretarial Assistant.

Experience and qualifications

  • Extensive Company Secretarial experience acquired through working at a senior level in a significant company in areas such as company law, company secretarial practice, corporate governance and risk management.
  • Experience in best practice gained from a varied experience in corporate transactions, routine company secretarial matters and involvement in project work.
  • Full working knowledge of both Diligent Boards and Blueprint corporate software.
  • Degree plus professional qualifications, preferably a Fellow or an Associate of the Institute of Chartered Secretaries and Administrators (or relevant professional body).

Personal qualities and behaviours

  • The job holder should be self-motivated and a customer focused team player with the competence to cope with a multitude of demands.
  • Strong analytical skills and attention to detail.
  • Exceptionally good judgement, utilising Industry best practices.
  • Brilliant interpersonal skills. To have the ability to be able to influence and negotiate at all levels including executive and non-executive main board directors.
    Requirements.

  • Excellent Managerial skills including:
    • Capacity and confidence to manage a process/transaction with main Board Directors i.e. CEO, CFO and Chairman.
    • The ability to performance manage a team of professionals and co-ordinate both projects and people against tight deadlines, often in relation to significant projects.
