A high-profile investment management firm is searching for an ambitious Company Secretarial Assistant. The principal purpose of the role will be to support the team with a broad range of company secretarial work at an entry level. Coaching and support will be provided to enable the successful candidate to achieve Chartered Secretary status. The role also involves working closely with colleagues in the fund teams as well as colleagues within Legal, Finance, Compliance and Tax.   • Preparing and filing annual returns using Blueprint software and maintaining trackers to ensure that deadlines are not missed. Liaising with other teams as required.
  • Issuing board meeting notices and preparing minutes in respect of the board approval of accounts.
  • Supporting the team with the annual general meeting arrangements for fund entities.
  • Company and LLP formations and post-incorporation work.
  • Adoption and changes to articles of association.
  • Share capital changes such as allotments, transfers, reductions and redemptions including Stamp Duty exemption claims.
  • Preparation of reports in relation to the group structure, required by other functions such as Compliance, Technical and Finance.
  • Assisting with share allotments and share transfers to investors in conjunction with fund teams, custodians and registrars.
  • Preparation of draft agendas.
  • Creation and distribution of board packs.
  • Attending board meetings and the preparation of draft minutes and actions.

Experience and qualifications

  • Strong commitment to the company secretarial profession and a desire to gain experience to launch/develop a career in the profession.
  • Strong academic background.
  • Commitment to qualification as a Chartered Secretary (study sponsorship and support available where required).

  • Personable, confident and able to establish strong relationships with individuals at all levels of seniority including senior management and board directors.
  • Strong communications skills, both written and verbal.
  • Highly organised, thorough, excellent attention to detail.
  • Able to demonstrate a proactive and flexible approach.
  • Resilient, able to work under pressure and meet deadlines.
