Our client, a successful organisation within financial services is seeking to appoint a reliable and independent Assistant Company Secretary. The successful candidate will be providing company secretarial services at the top of the EMEA group of companies and to the other UK entities. Duties involve providing board support and attending Committee meetings, maintaining statutory records as well as providing support on EMEA-wide projects. For this role we are looking for someone with solid company secretarial experience and good working knowledge of Blueprint and Diligent. Qualified and part-qualified candidates with experience in financial services will be preferred.

 

Responsibilities

  • Assist with arrangements for Board and Committee meetings, including annual timetables, agendas, production of Board packs and minute administration
  • Secretary to the monthly Accounts Committee and deputising at other Committees as required from time to time
  • Responsibility for documentation of processes for key company secretarial activities, and their maintenance
  • Maintenance (including annual audit) of statutory records and company filings
  • Design and supervise implementation of an efficient, Authorised Signatory and Power of Attorney retention and indexing system
  • Facilitate and advise the business on the document execution process and provide cover when necessary for the Legal Administrator in obtaining signatures
  • Responsibility for all information requests from the External Auditor and statutory entity account sign off and filing
  • Responsibility for other information requests received from around the business including client KYC requests, information/signatories in respect of UK companies.
  • Ad hoc support on various projects (eg SMCR implementation; entity rationalisation)

Experience and qualifications

  • Minimum three years’ experience of company secretarial work in a listed company or financial services environment
  • ICSA qualified or part qualified preferred

  • Excellent attention to detail
