In a fast-moving environment and small department; you will report directly to the Group Company Secretary. The Assistant Company Secretary will cover a broad range of company secretarial duties and legal matters, as well as playing a crucial role in ensuring the company’s regulatory compliance, with both domestic and international governance considerations. To succeed, you will have had prior experience in a listed company, be ICSA qualified / part qualified and have excellent analytical and technical knowledge. Adaptable and independent thinkers will thrive in this role as the Assistant Company Secretary will have sole responsibility for many key tasks.




  • Preparation of Governance Report and Investor Relations Commentary and other ad-hoc papers as required, for plc Board Meetings.
  • Support the Company Secretary with various Committee matters, including taking and drafting of minutes and the preparation of a Litigation Register.
  • Managing the processes regarding the issue and listing of new shares, maintaining records for issued share capital and treasury shares.
  • Drafting relevant sections for the Annual Report and Accounts.
  • Assisting in ensuring compliance with the Corporate Governance Code, Market Abuse Regulation (MAR), sanctions, Health & Safety, Data Protection (GDPR), Anti-Bribery and Corruption, whistleblowing etc, and advising on best practice.
  • Organising and arranging the Company’s AGM.
  • Dealing with tasks related to UK and overseas acquisitions and corporate actions.
  • Attending to statutory filings and notifications to the Registrar of Companies for UK.

Experience and qualifications

  • ICSA qualified / part-qualified.
  • Prior experience in a UK listed company’s secretariat.
  • Exceptional minute taking ability.

  • High level of accuracy.
