A fantastic opportunity to develop your cosec career by joining a renowned and exciting organisation as Company Secretarial Assistant. Reporting to the Company Secretary, the role will see you managing all Boards and Committees, including coordinating, planning and attending Trustee and Committee meetings, whilst ensuring that actions arising are followed through. Key Roles and Responsibilities

  • Work with the Company Secretary to help with the deliverance of the company secretarial objectives.
  • Be the first point of contact for guiding and advising internal stakeholders on corporate governance compliance matters.
  • Be the first point of contact for all Trustees and Associate Trustees ensuring that they have all the support and information needed to carry out their governance obligations and responsibilities.
  • Lead on managing the onboarding and offboarding process for all Trustees and Associate Trustees.
  • Work with the Company Secretary to plan the annual timetable for meetings, establishing and maintain a timetable of key events for the Board and, where relevant, subsidiaries during the year.
  • Work alongside the Chief Executive, Company Secretary and Senior Leadership Team to craft the agendas of Trustee meetings.
  • Collate, produce and circulate papers in preparation of each meeting via Board Intelligence
  • Take minutes of discussions held, decisions taken and any actions arising.
  • Create and preserve an efficient action follow up process for meetings.
  • Aid the Company Secretary in making sure that the charity adheres to statutory and regulatory compliance.
  • Make provisional board resolutions in relation to regular and routine company secretarial matters.

Experience and Qualifications

  • Member of the Chartered Governance Institute or a desire to successfully complete the Chartered Governance Institute qualification desirable.
  • Proven experience of working with different stakeholder groups at all levels of an organisation.
  • Experience working within a medium-to-large sized charity desirable.

  • Exceptional emotional maturity to deal directly with the Trustees and senior leadership team on a day-to-day basis.
  • Ability to work well under pressure, in a fast-paced environment, and to meet tight deadlines.
  • Outstanding organisation skills.
  • Excellent communication skills.
