An exciting opportunity to work as Governance Director for a large membership organisation. The successful candidate will be providing a complete company secretarial service across the business and its subsidiaries, giving guidance to Board members, oversee ‘year-end’ governance and direct the organisation’s strategy on corporate governance. Key Roles and Responsibilities

  • Promote and implement solid corporate governance standards across the organisation and be proactive in researching, reviewing and developments in this regard that might affect or benefit the organisation’s Board
  • Bring about a collaborative and agile way of working between the Board and Executive, especially the President and Chair so that they can operate effectively
  • Give guidance to Board members in their role as Non-Executive Directors
  • Make sure that the organisation and its subsidiary Boards, their AGMs and committees are properly constituted, operated and supported
  • Oversee the governance relating to ‘year-end’ including the governance elements requiring input/response
  • Evaluate and make recommendations of the organisation’s internal controls and assurance arrangements
  • Provide full oversight of the necessary preparation of AGMs and SGM and be responsible for the delivery of trouble free and compliant proceedings on the day, assisting the Chair and the accurate recording of decisions
  • Advise on appropriate governance procedures for the organisation’s affiliated institutes overseas, ensuring due diligence on the same is considered by the Board

Experience and Qualifications

  • Chartered Secretary/Chartered Governance Professional
  • Solid, post-qualification, experience of working in a governance role
  • Knowledge of legal and regulatory principles and their application in a commercial environment and knowledge of corporate governance principles and structures is required
  • Experience in reporting and presenting to senior management

  • Excellent communication skills to build relationships with stakeholders
  • Ability to work well independently and in a team
