We have been exclusively retained on this standalone Group Company Secretary role for this high profile FTSE business.  Reporting to the CFO and Chair, the successful applicant will provide the full range of company secretarial services to the board and its committees, including ensuring all market listing and statutory compliance requirements are met to a high standard and overseeing company share scheme plans.

We’re open to considering Senior Assistant Company Secretaries and Deputies looking to ‘step up’ or Group Company Secretaries looking for a lateral move.

Key Roles and Responsibilities

  • Provide advisory support to Committees, NEDs, Chair and Executive Directors, ensuring all corporate governance and statutory compliance matters across the organisation are effectively addressed.
  • Support the regulatory and governance requirements for the Annual Reports, Accounts and Strategic Report.
  • Manage the Board calendar, AGMs and all associated actions, as well as providing full Board/Committee support, including arranging meetings, preparing agendas, facilitating effective information flows, and taking minutes.
  • Work closely with external service providers to oversee and advise on the organisation’s share-based incentive plans, liaising with the Remuneration Committee/Board to ensure alignment with shareholder interests and managing other share scheme-related matters.

Skills and Experience

  • Fully CGI qualified.
  • Extensive experience in a public FTSE-listed environment.
  • Demonstrable technical knowledge of company secretarial matters, including UK Companies Act, listing rules, share schemes, corporate governance best practice, and other regulatory frameworks.
  • Demonstratable experience of maintaining solid working relationships with senior-level stakeholders, executives, external advisers and other staff members.
  • Current knowledge of relevant regulation, including Listing Rules, Corporate Governance Code, Market Abuse Regulation and Share Schemes.

  • Strong organisational skills, with the capacity to prioritise and manage own workloads while working within tight deadlines and producing work to a high standard.
  • Excellent communication skills, both written and verbal, with the ability to confidently communicate effectively with individuals across all levels of an organisation, as well as offer technical guidance to senior-level management/directors.
  • Excellent attention to detail, with good numeracy and literacy skills.
