£Market Rate, Oxfordshire (Hybrid)

A global private group is seeking a highly skilled and experienced Senior Assistant Company Secretary to join their Oxfordshire-based Group Secretariat team. This role will be pivotal in ensuring the highest standards of corporate governance and compliance across its diverse portfolio of subsidiaries; with responsibilities ranging from entity management to subsidiary Board meeting support and attendance, and development of key governance policies. This position requires an organized individual, who will be able to prioritise effectively, and excellent communicator able to liaise with stakeholders at all levels.

Key Roles and Responsibilities

  • Assist the Company Secretary with statutory compliance, entity management, minute taking, and administration for the Group’s subsidiaries.
  • Draft and review legal documents related to subsidiary entities, including formation documents, board and shareholder meeting documentation, and compliance documentation.
  • Oversee the management of subsidiary board companies, including appointments, dissolutions, and compliance with local legal requirements.
  • Assist with corporate reorganizations, including asset or business transfers.

Skills and Experience

  • Part-/fully CGI qualified.
  • Previous experience of providing full range of company secretarial services including Agenda setting, committee management and accurate minute taking.
  • Expert working knowledge of UK Corporate Governance Code and the Wates Principles alongside experience of interpreting legislation and guidance into organisational best practice
